Our Client is looking for an experienced corporate attorney to join the team as the first in-house lawyer. This role will report to the CFO and support the global firm. The candidate must be comfortable working in an agile environment and taking on strong ownership of numerous tasks. We are looking for a person with a strong corporate sense, and in-depth critical thinking skills. Able to work proactively with senior leaders and outside counsel to identify and prioritize issues and design creative client-focused solutions to accomplish company goals within legal guidelines. The individual must succeed in a high-volume, fast-paced, high-performing professional services environment, and be oriented to making pragmatic decisions and responding quickly and clearly to time-sensitive matters.

Key Responsibilities:

  • Supervise and lead general corporate matters, including entity organization, general transaction support, employment law, regulatory matters, risk management, and general contract management.
  • Design, review, and negotiate standard contracts with clients, vendors, and other shareholders, including but not limited to, Client Engagement Letters, Confidentiality Agreements, Master Services Agreements, Software-as-a-Service (SaaS) Agreements, Statements of Work, and Consulting Services Agreements.
  • Organize a board of director consents, partnership admission joinders, and other internal documents in support of the global partnership, and help maintain and organize appropriate partnership and other entity records.
  • Support cross-border legal matters in connection with the global growth of the partnership.
  • Manage workflows and other actions required to collaborate with internal clients (Partners, Directors, HR, Knowledge Management, IT, Technical Teams, etc.) for their legal requirements.
  • Partner with HR on crafting and managing HR policies and employment matters.
  • Support the Company’s compliance program and efforts including policy drafting, implementation, and management, and provide guidance and counsel on active compliance matters including information and data security and privacy, anti-corruption, etc.
  • Provide advice and counsel on a wide array of business and legal issues, coordinating cross-functionally as needed. Be prepared to field incoming questions and provide solutions to internal clients
  • Develop, implement and manage legal and compliance policies, processes, programs, forms, playbooks, and training to enable efficiency and improve business decisions.
  • Work closely with and manage outside counsel and vendors.

Qualifications required:

  • J.D. from a nationally recognized law school. License, in good standing, and ability to practice law in an in-house setting.
  • 5 years of progressively responsible post-qualification legal expertise in the field of corporate law, either at a recognized law firm (or a combination of law firm and in-house)
  • Experience drafting, negotiating, and finalizing a broad range of transaction agreements
  • The ability to think like a business executive and facilitate management objectives, yet the willingness to be a “hands-on” lawyer who is trusted with the accuracy of the details
  • Work independently with little supervision to complete transactions
  • Able to act as a strong business partner who can integrate legal advice with business insight and sound judgment
  • Able to provide quick and pragmatic solutions in urgent and demanding situations.
  • Able to think creatively, work independently, find solutions and think strategically.
  • Excellent writing, communication, organizational, problem-solving, and analytical skills.
  • Strong interpersonal skills and ability to appraise and support both colleagues and clients.
  • Self-directed and proactive, comfortable executing multiple projects independently and in collaboration with others.
  • Prior experience within a professional services organization is desired.
